US investors

Please be aware that if any of the syndicate’s investors of yours are U.S. tax residents, there is a per-investor surcharge that will be calculated at the point of closing your deal. You would only be responsible for paying this surcharge if the Syndicate Lead has specified you will be paying Odin’s fees.

Odin calculates the number of U.S. investors in a deal by reviewing the account information for all investors and noting down how many have provided residential addresses in the U.S.

If applicable, the surcharge for U.S. investors will be communicated to you as the Investee Company Contact by Odin’s Deal Operations team as part of the ‘wiring funds’ part of the closing process. Again, this only applies if your company is paying Odin’s fees.
